Terms And Conditions.

These Terms and Conditions ("Terms") govern your use of ppcblackbox.ai and the PPC Black Box application at app.ppcblackbox.ai, including campaign builds, Keyword Landscape research, export files, and related services (the "Services"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Ownership Of PPC Black Box

PPC Black Box, the ppcblackbox.ai domain, and all software, prompts, methodology, text, graphics, and branding (the "Content") are owned by PPC for SEO and Derek Booth.

SDKH LLC sells and delivers the Services with the permission of Derek Booth. SDKH LLC does not own the Content. No ownership in the Content passes to SDKH LLC, to any customer, or to any other party.

In these Terms, "we", "us" and "our" mean SDKH LLC as seller of the Services. "You" means the person or business using the Services.

2. Eligibility

You must be at least 18 years old and able to enter a binding contract to use the Services.

3. Accounts

You must give accurate information when creating an account. You are responsible for keeping your login details secure and for all activity on your account. We may suspend or close any account that breaks these Terms, abuses the Services, or fails payment.

4. Payments, Subscriptions, And Credits

• Prices are shown in US dollars and may change for future billing periods. Your current period price applies until it renews.
• Payments are processed by Stripe. Subscriptions renew automatically each billing period until cancelled. You can cancel any time; the plan stays active to the end of the paid period.
• Monthly credits are granted each billing cycle and reset at renewal; unused monthly credits do not roll over.
• Purchased top-up credits never expire and remain on your account while it is open, including after a subscription ends.
• Credits are consumed when the Services perform work for you (campaign builds, research runs, regenerations). Charges are shown before you confirm an action.
• You are responsible for any taxes that apply to your purchase.

5. Refunds

Refunds are governed by the Refund Policy, which forms part of these Terms. In short: you may request a refund within 7 days of your first subscription payment, and we return 90% of that payment. Cancellation takes effect at the end of the current billing period; no refunds are given for part periods.

6. Your Licence To Use The Services

Derek Booth grants you, through SDKH LLC, a limited, non-exclusive, non-transferable and revocable licence to access and use the Services for your own personal or internal business use. This licence does not give you any ownership of the Content.

7. Restrictions

You must not:

• Share your login or let anyone else use your account
• Copy, download, record, redistribute or republish any Content
• Resell, sublicense or offer the Services as part of your own product
• Reverse engineer, decompile or copy any part of the software
• Remove any copyright, trademark or ownership notice
• Use the Services to violate law, ad-platform policies, or third-party rights
• Probe, attack, or scrape the Services

Breaking these restrictions ends your licence immediately, without refund.

8. Trademarks

PPC Black Box™ and related names and logos are trademarks of Derek Booth. You may not use them without written permission from Derek Booth.

9. Intellectual Property

All rights, title and interest in the Content, including copyright, trademarks and the domain ppcblackbox.ai, belong to and remain with PPC for SEO and Derek Booth.

SDKH LLC uses the Content under a non-exclusive, revocable permission from Derek Booth. That permission does not transfer ownership and cannot be assigned, sublicensed or transferred by SDKH LLC to anyone else.

Any updates, new modules or improvements to the Content also belong to Derek Booth.

10. Affiliates

Every account carries an affiliate code; the programme is governed by the Affiliate Terms, which form part of these Terms for participating accounts.

If you join the affiliate programme you must:

• Clearly disclose your affiliate relationship and follow FTC rules
• Not send spam or make false or misleading claims
• Not bid on "PPC Black Box", "ppcblackbox" or any variation in paid search without written permission from Derek Booth

11. Your Content And Generated Output

• You retain rights in the inputs you submit (landing-page URLs, keywords, brand names) and in the campaign assets generated for your account.
• You grant SDKH LLC and Derek Booth a non-exclusive, worldwide, royalty-free licence to process your inputs to deliver the Services.
• Generated output may be imperfect or contain errors; you are responsible for reviewing assets before publishing them to any ad platform, and for the URLs, keywords, and landing pages you submit.

12. Third Parties

The Services may link to or use third-party sites, tools and platforms (payment processors, AI model providers, search-data providers, ad platforms). We are not responsible for their content, products, decisions, or any transaction you make with them.

13. No Guarantee Of Results

The Services assist your advertising work; they are not legal, financial or professional advice. Results depend on many factors outside our control and we do not guarantee any rankings, ad approvals, impressions, conversions, revenue or earnings on any ad platform.

14. Disclaimer

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent allowed by law.

15. Limitation Of Liability

To the fullest extent allowed by law, the total liability of SDKH LLC and Derek Booth for any claim relating to the Services is limited to the amount you paid for the Services in the 12 months before the claim. Neither is liable for indirect, incidental or consequential losses, lost profits, or ad-platform decisions (including disapprovals, suspensions, or billing by platforms).

16. Indemnity

You agree to defend and indemnify SDKH LLC and Derek Booth against any claim, loss or cost arising from your misuse of the Services or the Content or your breach of these Terms.

17. Suspension And Termination

We may suspend or end your access if you break these Terms. We may change, pause or discontinue any part of the Services.

18. Change Of Seller

Derek Booth may end SDKH LLC's permission to sell the Services, or appoint another seller, at any time. If that happens, customers who have already paid keep access to what they bought, and their account may be moved to the new seller on the same terms.

19. Changes To These Terms

We may update these Terms from time to time. The new version applies from the date it is posted. Continued use of the Services means you accept the updated Terms.

20. Governing Law And Disputes

These Terms are governed by the laws of the State of Mississippi.

Any dispute will be resolved by binding arbitration in Jackson, Mississippi, under the rules of the American Arbitration Association. Disputes must be brought individually, not as part of a class action.

Derek Booth or SDKH LLC may seek an injunction in any court to protect the Content, intellectual property or confidential information.

21. General

These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Services. If any part is found unenforceable, the rest still applies. Not enforcing a term is not a waiver of it. You may not assign your rights under these Terms. Neither party is liable for delays caused by events outside its reasonable control.
